Two other ideas:

So far we're assuming planetary, as opposed to 
ideas like Fred Hoyle's Black Cloud (a sentient 
interstellar gas cloud) or a being made of plasma.

And I suppose—swiping further from hand-waving 
sf—there could be a life, or even a conscious 
life, that was strictly a sustained energy pattern.
